Master Subscription & Retainer Agreement

Legally Binding Terms & Conditions Governing All Exclusive Logistics Contracts

Effective Date: January 1, 2024•Document ID: DRE-MSA-9942

IMPORTANT LEGAL NOTICE

By submitting an application for any Retainer, VIP, or Corporate Subscription plan through DirectRoadExpress, the Client ("You", "The Entity") hereby legally binds themselves to this entire Master Subscription Agreement in perpetuity. This agreement heavily governs financial liability, asset forfeiture, and international authoritative pursuit in the event of a breach. Read carefully before proceeding.

ARTICLE I: DEFINITIONS & SCOPE OF SUBSCRIPTION

1.1. "The Company" refers exclusively to DirectRoadExpress Global Logistics, its subsidiaries, authorized contractors, and assigned international agents.
1.2. "The Client" refers to the corporate entity, individual, or syndicate who has submitted a formal application and provided payment for a Subscription Plan.
1.3. "Subscription Plan" refers to the recurring financial retainer established by the Client to secure priority routing, discrete transit, and dedicated logistical resources.
1.4. "Stablecoin" refers strictly to cryptographic digital assets pegged to the US Dollar, specifically limited to USDT (Tether) and USDC (USD Coin), transmitted via decentralized networks entirely free from traditional banking interference or chargeback mechanisms.

ARTICLE II: THE RETAINER AS A SECURED SAVINGS VEHICLE

2.1. Fund Allocation: All funds paid toward a Subscription Plan act as a secured, operational balance on behalf of the Client. The Company utilizes these funds to place private charters on standby, secure armed escorts, and reserve climate-controlled transit bays in advance of actual shipment requests.

2.2. End-of-Term Calculation & Refund: The Company acknowledges that logistical needs fluctuate. Therefore, the Subscription Plan operates mathematically similarly to a secured savings account. If, by the conclusion of the subscription period (monthly or annual), the Client's dashboard indicates zero (0) active shipment records, and no logistical resources were actively deployed on the Client's behalf, the overall unexhausted balance will be mathematically calculated and fully refunded to the Client's original payment method, minus a nominal 5% administrative holding fee.

2.3. Client Acknowledgment: The Client understands that subscribing to these services is equivalent to saving money; funds are not strictly lost if services are utterly unused, provided no other clauses of this agreement have been triggered.

ARTICLE III: STABLECOIN POLICY & COMPANY BREACH CLAUSE

3.1. Discreet Payment Preference: The Company highly incentivizes the use of Stablecoins (USDT/USDC) for all Subscription Plans. Stablecoin payments guarantee complete operational discretion, zero external banking delays, zero fraudulent chargeback risks, and allow the Company to maintain direct, uninterrupted control over operational liquidity.

3.2. The 10% Stablecoin Discount: Clients who elect to remit payment via USDT or USDC are automatically granted a perpetual 10% fee discount on their Subscription Plan, reflecting the absence of traditional financial processing fees.

3.3. Company Breach & Full Refund Guarantee: The Company holds itself to the highest standard of execution. In the highly unlikely event that the Company materially breaches this contract (e.g., total failure to provide reserved logistical resources without external interference), the Client is entitled to a full and complete refund.

CRITICAL STIPULATION: This full refund guarantee is STRICTLY LIMITED to Clients who remitted their Subscription payment via Stablecoins (USDT/USDC). Due to the volatile regulatory nature of fiat banking and the delays associated with international wire reversals, the Company cannot and will not guarantee full, unimpeded refunds for fiat transactions. Stablecoin transactions, being under the direct control of the Company, allow for immediate, 100% complete refunds in the event of a Company breach.

ARTICLE IV: CLIENT BREACH & MASSIVE PENALTIES

4.1. Definition of Client Breach: A Client breach occurs if the Client: (a) Submits fraudulent cargo manifests; (b) Attempts to initiate an unauthorized fiat chargeback; (c) Breaches the Non-Disclosure Agreement (NDA) regarding routing protocols; (d) Fails to pay subsequent subscription dues while cargo is actively in transit.

4.2. Financial Penalties: In the event of a Client Breach, the Client absolutely and unconditionally forfeits their entire remaining Subscription balance. Furthermore, the Client shall be immediately assessed a punitive breach penalty equivalent to 300% of their annual subscription cost.

4.3. Authoritative Pursuit: The Company reserves the absolute right to pursue the Client through all available international legal authorities, private arbitration tribunals, and specialized debt-recovery syndicates. The Company will leverage all provided corporate registration data and personal identifiers to ensure the penalty is extracted in full.

ARTICLE V: FORCE MAJEURE, THEFT, & ASSET FORFEITURE

5.1. Third-Party Interference: The Company operates in highly complex global environments. In the event of "high-level theft", government seizure, customs blocking, unprovoked authoritative intervention, or any event outside the direct intentional control of the Company (collectively defined as "Blocking Events"), the Company is completely indemnified from all liability.

5.2. Exhaustion of Funds: If a Blocking Event occurs, the Client explicitly authorizes the Company to legally exhaust any and all remaining funds in the Client's Subscription balance to cover legal extraction costs, border bribes, alternative routing fees, or operational hazard pay required to resolve the block.

5.3. Zero Refund Liability: If the Subscription balance is exhausted due to a Blocking Event, the Client is entitled to absolutely zero refunds, regardless of whether the cargo is ultimately recovered. The Company's paramount interest is the safety of its personnel and the integrity of its network; Client funds will be sacrificed entirely to protect the Company's operational interests in the event of external interference.

ARTICLE VI: COMPLETE LEGITIMACY & OPERATIONAL DISCRETION

6.1. Absolute Discretion: The Company guarantees that all payments, particularly those made in Stablecoins, are handled with complete discretion. The Company does not report Stablecoin transactions to external tax authorities unless legally subpoenaed by a recognized international tribunal.

6.2. Company Interest Preservation: This contract is explicitly drafted to preserve the interests, liquidity, and security of DirectRoadExpress above all other concerns. By agreeing to these terms, the Client acknowledges that the Company's operational survival and financial security supersede the Client's right to asset recovery in all disputed scenarios.

This Master Subscription Agreement constitutes the entire understanding between the Client and the Company. No external verbal agreements, email correspondence, or marketing materials shall supersede the brutal, explicit terms written within this document. The Company reserves the right to amend these terms at its sole discretion, without prior notice, to further safeguard its interests.
